1. Definitions

In these Terms and Conditions (“Terms”):

“Bangkok Podcast Studio” or “Studio” means LVC Engineering Co., Ltd., a company registered in Thailand, operating under the trade name Bangkok Podcast Studio.
“Client” / “you” / “your”means the person or legal entity that makes a Booking or uses the Studio’s services.
“Session”means a booked and pre-paid period of time in which the Client uses the Studio’s facilities and services.
“Booking” means a confirmed, pre-paid reservation for a Session.
“Recordings” / “Files” means any audio recordings, video recordings, still photographs, raw files, edited files, or other media content produced during or in connection with a Session.
“Overtime” means any use of the Studio beyond the scheduled end time of a Booking.
“Podyx”means Bangkok Podcast Studio’s dedicated online booking platform through which all Bookings are made, accessible via bangkok-podcast-studio.podyx.com.
“AI Training Use” has the meaning given in Section 5.1.
“Brand Elements” has the meaning given in Section 16.1.

2. Use of This Website

2.1 Cookies

We employ the use of cookies. By accessing bangkokpodcaststudio.com, you agree to the use of cookies in accordance with Bangkok Podcast Studio’s Privacy Policy and Section 10 of these Terms.

2.2 License to Website Content

Unless otherwise stated, Bangkok Podcast Studio and/or its licensors own the intellectual property rights in all material on bangkokpodcaststudio.com. All intellectual property rights are reserved. You may access this material for your own personal use subject to the restrictions in these Terms.

You must not: republish, sell, rent, sub-license, reproduce, duplicate, or redistribute material from Bangkok Podcast Studio without prior written permission.

2.3 Comments on the Website

Parts of this website may allow users to post opinions and information. Bangkok Podcast Studio does not filter or review Comments prior to publication. Comments do not reflect the views of Bangkok Podcast Studio. To the extent permitted by applicable law, Bangkok Podcast Studio shall not be liable for Comments or for any damages arising from them. Bangkok Podcast Studio reserves the right to remove any Comments that are inappropriate, offensive, or in breach of these Terms.

2.4 Hyperlinking

The following may link to our website without prior written approval: government agencies, search engines, news organizations, online directory distributors, and system-wide accredited businesses. All links must be non-deceptive and must not falsely imply sponsorship or endorsement.

2.5 iFrames

Without prior written permission, you may not create frames around our web pages that alter their visual presentation.

2.6 Content Liability

We are not responsible for content that appears on your website. You agree to indemnify us against all claims arising from your website. No link on your website should be defamatory, obscene, or criminal, or infringe any third-party rights.

2.7 Reservation of Rights / Removal of Links

We reserve the right to request removal of any link to our website. We also reserve the right to amend these Terms and our linking policy at any time.

3. Studio Services and Payment

Bangkok Podcast Studio is operated by LVC Engineering Co., Ltd. All invoicing and payment collection for services is handled by LVC Engineering Co., Ltd. Payment terms for each project are set out in the individual Booking confirmation or service agreement.

Booking Platform (Podyx): All Bookings are made through Bangkok Podcast Studio’s dedicated booking platform, Podyx, accessible via bangkok-podcast-studio.podyx.com. When you are redirected to Podyx to complete your Booking, you acknowledge that: (a) Podyx is Bangkok Podcast Studio’s authorized booking and payment system; (b) completing a Booking through Podyx constitutes acceptance of these Terms in full; and (c) the pre-payment requirements in Section 6.1 apply at the point of checkout on Podyx.

4. Intellectual Property: Recordings

4.1 Client Ownership

Subject to full payment of all charges and your compliance with these Terms:

(a) You own the copyright in recordings of your own original content produced during a Session;

(b) Bangkok Podcast Studio does not claim ownership of your content.

4.2 Marketing Use of Session Content: Consent

BY ACCEPTING THE BOOKING TERMS DISPLAYED AT CHECKOUT (INCLUDING THE PORTFOLIO CONSENT MENTION REFERENCING §4.2), YOU GRANT BANGKOK PODCAST STUDIO A LIMITED MARKETING SUB-LICENSE AS DESCRIBED BELOW. YOU MAY WITHDRAW THIS CONSENT AT ANY TIME BY EMAIL: SEE SECTION 4.3.

4.2.1 Studio Environment Content (Facility Photography: No Personal Data)

Bangkok Podcast Studio may photograph and film its own physical premises, rooms, equipment, acoustic treatment, lighting, furniture, and set design, in content that does not include any identifiable person. Such content is Bangkok Podcast Studio’s own property and does not constitute personal data under the PDPA B.E. 2562. Bangkok Podcast Studio may use this content freely for promotional purposes without further consent.

This does not include footage in which you, your guests, or any other person appears in a recognizable capacity.

4.2.2 Your Identifiable Session Content: Marketing Sub-License

By accepting the booking terms displayed at checkout (which includes a portfolio consent mention referencing this section), you grant Bangkok Podcast Studio a non-exclusive, royalty-free, worldwide sub-license to use your identifiable Session content for the following limited marketing purposes:

What may be used:

Short clips of your Session (maximum 30 seconds per excerpt)
Your image, voice, name, and likeness as captured during your Session

Permitted channels and purposes:

Bangkok Podcast Studio’s website (bangkokpodcaststudio.com)
Bangkok Podcast Studio’s social media accounts (Instagram, Facebook, YouTube, TikTok, LinkedIn)
Portfolio materials and press content showcasing studio capabilities
Content illustrating the studio environment and the type of productions recorded there

What is NOT permitted under this sub-license:

Using your content as an endorsement, testimonial, or paid advertisement without a separate written agreement
Implying your affiliation with, or approval of, Bangkok Podcast Studio beyond what the Session demonstrates
Clip excerpts longer than 30 seconds without a separate written agreement

Legal basis: Your consent under PDPA B.E. 2562, Section 19, provided at the time of booking via checkout acceptance. The sub-license is specific and limited in purpose, platform, and format.

Your Booking and Session are not conditional on marketing consent. Clients who wish to opt out of the marketing sub-license should contact Bangkok Podcast Studio directly at hello@bangkokpodcaststudio.com before completing their booking to arrange an alternative pathway. Marketing consent withdrawal does not block, cancel, or delay your booking.

Note: No “Fair Use” Under Thai Law: Bangkok Podcast Studio’s rights to use identifiable Session content are exclusively contractual and consent-based. There is no “fair use” doctrine under Thai law. The Thai Copyright Act B.E. 2537, Sections 32–43 provides only a closed list of statutory exceptions. Commercial promotional use of client recordings does not fall within any of those exceptions.

4.3 Withdrawal of Marketing Consent

You may withdraw your marketing consent granted under Section 4.2.2 at any time by sending a written withdrawal notice to hello@bangkokpodcaststudio.com with subject line: “Withdraw Marketing Consent, [your full name]”.

Upon receipt of your withdrawal notice:

Withdrawal applies prospectively onlyfrom the date of Bangkok Podcast Studio’s receipt of your notice
Bangkok Podcast Studio is not required to remove or delete marketing content already published prior to the effective date of withdrawal
Withdrawal takes effect within 30 calendar days of receipt of your notice
Bangkok Podcast Studio will record the withdrawal date for PDPA compliance records (PDPA B.E. 2562, Sections 24 and 26)

Withdrawal of marketing consent:

does not affect your Booking, your Session, or your file delivery rights
does not entitle you to any compensation, refund, or other remedy
does not constitute cancellation of your Booking

4.4 Studio IP

The physical design, acoustic treatment, lighting systems, set design, visual branding, and production workflow of Bangkok Podcast Studio are proprietary to Bangkok Podcast Studio (“Studio IP”). Nothing in these Terms grants you any rights in Studio IP. You may not reproduce, replicate, or incorporate Studio IP into any physical or digital product, service, or AI-generated environment.

4.5 Third-Party Rights

You warrant that you hold all necessary rights, licenses, and consents for all content recorded during your Session, including music, scripts, third-party interview contributions, and other copyrighted materials. You shall indemnify Bangkok Podcast Studio against any third-party intellectual property claims arising from your use of third-party content in the Studio.

5. Prohibition on AI Training and Generative AI Use

5.1 Definition of AI Training Use

“AI Training Use” means any use of the Recordings, in whole or in part, directly or indirectly, for:

(a) training, fine-tuning, instructing, or providing input data to any artificial intelligence, machine learning, or deep learning model;

(b) creating, developing, or improving any voice cloning, voice synthesis, speech synthesis, or audio deepfake system;

(c) generating, training, or improving any digital avatar, virtual human, or synthetic representation of any person’s appearance, voice, or likeness;

(d) creating any dataset, corpus, or dataset contribution intended for use in AI or machine learning systems; or

(e) any other synthetic media generation or generative AI purpose.

5.2 Default Prohibition

The Client shall not, and shall not permit any third party to, make any AI Training Use of the Recordings. This prohibition applies:

(a) regardless of whether the Recordings are the Client’s own voice, image, or likeness;

(b) regardless of whether the Client holds copyright in the Recordings;

(c) to all forms of AI Training Use, including training data, fine-tuning data, prompt data, evaluation data, or any other AI system input; and

(d) for the duration of the Client’s possession of or access to the Recordings, and indefinitely thereafter.

5.3 No Implied License

Nothing in these Terms grants any license or permission to make AI Training Use of the Recordings. The absence of a specific prohibition in any communication from Bangkok Podcast Studio shall not be interpreted as permission.

5.4 AI Training License (Optional, Paid, Separate)

The Client may apply in writing to Bangkok Podcast Studio for a separate, negotiated AI Training License permitting specific AI Training Use of specific Recordings. Bangkok Podcast Studio has absolute discretion whether to grant such a license and on what terms. An AI Training License, if granted, will be set out in a separate written agreement signed by both parties, and will be subject to additional fees. No AI Training Use is permitted until such a license is fully executed and applicable fees are paid.

5.5 Client Warranty

The Client warrants and represents, at the time of Booking and at the time of each Session, that:

(a) the Client does not intend to make any AI Training Use of the Recordings;

(b) the Client will not provide the Recordings to any third party for AI Training Use; and

(c) if the Client’s intentions or use change after the Session, the Client will immediately cease any AI Training Use and notify Bangkok Podcast Studio.

5.6 Liquidated Damages

The parties agree that, in the event of a breach of Sections 5.2 or 5.5, it would be difficult to calculate the precise losses suffered by Bangkok Podcast Studio (which include permanent long-term commercial harm from unauthorized AI Training Use). Accordingly:

(a) For any breach of Section 5.2 or 5.5, the Client agrees to pay Bangkok Podcast Studio liquidated damages of THB 100,000 (one hundred thousand Thai Baht) per Session from which Recordings were used in breach, as a genuine pre-estimate of the long-term commercial harm to Bangkok Podcast Studio.

(b) This amount is in addition to, and does not limit, Bangkok Podcast Studio’s right to seek: (i) an injunction or other equitable relief; (ii) actual damages proven to exceed the liquidated damages amount; or (iii) reimbursement of reasonable legal costs.

(c) Bangkok Podcast Studio also reserves the right to terminate the Client’s access to the Studio and cancel any future Bookings upon discovery of a breach.

5.7 Studio Environment

The Client acknowledges that Bangkok Podcast Studio’s physical design, acoustics, branding, set, and production workflow constitute proprietary elements of the Studio’s identity and competitive value. No Recordings capture these elements in a manner that grants the Client rights to reproduce or replicate the Studio environment in any physical or digital form.

In plain words:You may not use any recording made in this Studio to train AI models, clone voices, create digital avatars, or generate synthetic media, even if it’s your own voice. If you want to do this, contact us in advance and agree to a separate paid license. Breaking this rule means a minimum charge of THB 100,000 per session, plus potential legal action.

6. Bookings, Pre-Payment, Session Timing, and Overtime

In plain words:You must book and pay in advance. Your session runs from start to end time regardless of when you arrive. If you go over time, you’ll be charged per 15-minute block at the normal rate, and you agree to this right now. We may cut your session at the end of your slot if there’s another booking. If you owe us overtime charges, we won’t release your recordings until you’ve paid.

6.1 Pre-Booking and Pre-Payment Required

Bangkok Podcast Studio operates exclusively on a pre-booked, pre-paid basis. No walk-in bookings are accepted. A Booking is confirmed only when:

(a) the Client has selected a Session date, time, and duration through the booking system;

(b) the Client has read and accepted these Terms (including specifically this Section 6); and

The Studio does not accept payment on the day of the Session in lieu of pre-payment. Booking confirmation constitutes a binding contract.

6.2 Session Timing

Each Session begins at the scheduled start time and ends at the scheduled end time, regardless of:

(a) the Client’s actual arrival time (a Client who arrives late does not receive an extended Session);

(b) technical difficulties attributable to the Client’s own equipment or materials; or

The principle is analogous to hotel checkout: the Client’s obligation to vacate is fixed by the booked end time, not by the actual arrival time.

Bangkok Podcast Studio will endeavour to have the Studio ready at the scheduled start time and will not charge for delay caused solely by Bangkok Podcast Studio’s own technical failure.

6.3 Late Arrivals

If the Client arrives after the scheduled start time:

(a) the Session end time is not extended;

(b) the full pre-paid Session fee remains payable and non-refundable;

(c) Bangkok Podcast Studio will use reasonable efforts to assist the Client in making productive use of the remaining time, but has no obligation to do so.

6.4 Overtime Charges

If the Client continues to use the Studio beyond the scheduled end time of the booked Session:

(a) Overtime Rate: Each 15-minute block (or part thereof) of Overtime shall be charged at one-quarter (1/4) of the Studio’s then-current published standard hourly rate for the relevant Studio space (i.e., pro-rata billing with no surcharge, billed per 15-minute tranche).

(b) Advance Acceptance: By confirming a Booking and accepting these Terms, the Client expressly and irrevocably agrees to pay any Overtime charges incurred, without the need for further agreement at the time Overtime occurs.

(c) No Renegotiation: Overtime charges are not subject to renegotiation after the Session. The Client agrees that they will not dispute Overtime charges on the basis that they did not notice the time, were not reminded by staff, or otherwise.

(d) Next Booking: If another client’s Session is booked immediately following the Client’s Session, the Studio will endeavour to notify the Client at least 15 minutes before the scheduled end time.

(e) Overtime Invoicing: Overtime charges will be invoiced immediately following the Session and are payable within 24 hours of invoice. Unpaid Overtime charges trigger the Right of Retention under Section 6.6.

6.5 Right of Coupure (Session Termination Right)

Bangkok Podcast Studio reserves the right to interrupt and terminate a Session at the scheduled end time, or at any point during Overtime, if:

(a) a subsequent Booking is scheduled for the same Studio space; or

(b) the Client has not authorized ongoing Overtime charges in writing (email to hello@bangkokpodcaststudio.com suffices); or

Exercise of this right is not a breach of these Terms and does not entitle the Client to any refund or compensation.

6.6 Right of Retention (File Withholding Pending Payment)

The parties expressly agree that:

(a) Scope: Bangkok Podcast Studio may withhold delivery of all Recordings and Files produced during a Session until all charges arising from that Session, including Session fees, Overtime charges, and equipment damage charges, have been paid in full.

(b) Contractual Basis: This right is expressly agreed by the Client as part of the consideration for the Booking, and constitutes a contractual right of retention in accordance with Sections 241 and 244 of the Thai Civil and Commercial Code B.E. 2466 (1923). The Client expressly waives any argument that this right of retention is incompatible with the delivery obligation assumed by Bangkok Podcast Studio under Section 242 of the Thai Civil and Commercial Code.

(c) Whole-File Retention: The right covers the entirety of the Files until all outstanding obligations under these Terms are fully discharged (Thai CCC, Section 244).

(d) File Storage During Retention: Where Bangkok Podcast Studio exercises this right, Files will be securely stored for 30 days from the date they are ready for delivery. If full payment is not received within 30 days, Bangkok Podcast Studio reserves the right to delete the Files without further notice, and the Client shall have no claim for their loss.

(e) No Liability: Bangkok Podcast Studio shall not be liable for any loss, cost, or damage suffered by the Client as a result of the lawful exercise of this right of retention.

6.7 File Delivery (Where No Retention Exercise)

Where all Session charges are paid in full:

(a) Immediate delivery: Recordings and Files are delivered immediately after the Session via Dropbox download link (sent to the email address provided at Booking) or SSD transfer, depending on the delivery method selected at Booking.

(b) 15-day download window: The Dropbox link and the Client’s access to the Files remain active for 15 days from the date of delivery. The Client is solely responsible for downloading and backing up their Files within this 15-day period. Bangkok Podcast Studio accepts no liability for any loss, damage, or inability to access Files after the 15-day download window expires.

(c) Plan-dependent file backup: Backup storage beyond the initial 15-day download window depends on the production plan selected at Booking:

Raw Files plan: No file backup is included beyond the 15-day download window.
Live Mix plan: Basic file backup is included as stated in the plan description on the pricing page.
Full Editing plan: Premium 360-day secure archive is included as stated in the plan description on the pricing page.

6.8 No-Cancellation and No-Refund Policy

In plain words: All bookings are final. We do not issue refunds under any circumstances. If you can no longer attend, you may request to reschedule (see Section 6.9), but you cannot cancel for a refund.

All Bookings are non-cancellable and non-refundable once confirmed and payment is received.

When you confirm a Booking, Bangkok Podcast Studio commits dedicated resources to your Session, staffing, equipment setup, audio and lighting configuration, and exclusive calendar blocking, regardless of when or whether you attend. The Studio cannot reallocate a blocked slot on short notice. Accordingly:

(a) No refund is issued for any cancellation, regardless of when the cancellation is made;

(b) No refund is issued for no-shows, late arrivals, or early departures;

Legal note: This policy constitutes a forfeiture of the advance payment on breach (Thai CCC, s.379, the forfeited pre-payment is the agreed penalty for non-performance). Bangkok Podcast Studio expressly states the rationale, exclusive slot reservation plus committed studio preparation, which supports enforceability under the Unfair Contract Terms Act B.E. 2540, Section 4. This clause is conspicuously displayed and must be explicitly accepted at Booking.

6.9 Rescheduling

Cancellation is not available, but the Client may request to reschedule a confirmed Booking, subject to:

(a) The rescheduling request must be communicated to Bangkok Podcast Studio at least 24 hours before the original Session start time;

(b) Rescheduling is subject to Bangkok Podcast Studio’s studio availability at the time of request. Bangkok Podcast Studio does not guarantee availability on any specific date or within any particular timeframe;

(c) If no suitable alternative slot is available within a reasonable period, the original Booking cannot be transferred or credited;

(d) Rescheduling requests made less than 24 hours before the Session start time will not be honored, the original Booking is treated as a no-show and no rescheduling right applies.

6.10 Studio Preparation Acknowledgment

The Client acknowledges that Bangkok Podcast Studio undertakes material preparation in advance of each Session, including equipment setup, audio and lighting configuration, staffing, and calendar blocking, which justifies the pre-payment, no-cancellation, and Overtime policies in this Section 6.

7. Equipment and Studio Conduct

7.1 Equipment Damage

The Client is responsible for any damage to Studio equipment, furniture, or property caused by the Client, their guests, or invitees. The Client shall pay the cost of repair or replacement within 14 days of written invoice from Bangkok Podcast Studio.

7.2 Conduct

The following are prohibited in the Studio at all times:

(a) smoking or vaping;

(b) illegal substances;

(d) bringing unauthorized third parties not included in the Booking.

7.3 Termination for Breach

Bangkok Podcast Studio reserves the right to terminate a Session immediately, without refund, if the Client or any guest breaches Section 7.2.

8. Recording and Image Consent

8.1 Operational Recording Consent

The Client consents to Bangkok Podcast Studio making audio and video recordings, and capturing still images, during the Session for the following operational purposes only: (a) quality monitoring; (b) technical review; and (c) production of the Client’s own deliverable Files.

8.2 Marketing Use

Marketing use of recordings or images of the Client is governed by Sections 4.2–4.3. The marketing sub-license is granted via the portfolio consent mention at checkout (§4.2.2). No marketing use of identifiable content beyond the sub-license defined in §4.2.2 is permitted without a separate written agreement.

8.3 CCTV

CCTV may be in operation in common areas of the Studio for security purposes. CCTV footage is processed in accordance with Section 10 (Data Protection and PDPA).

9. Limitation of Liability

9.1 Liability Cap

Bangkok Podcast Studio’s total liability to the Client in connection with any Session is limited to the value of the pre-payment made for that Session.

9.2 Exclusion of Consequential Loss

Bangkok Podcast Studio shall not be liable for any indirect, consequential, incidental, or special damages, including but not limited to lost profits, loss of data, loss of recordings, or reputational harm.

9.3 Mandatory Exclusions

Nothing in these Terms limits Bangkok Podcast Studio’s liability for:

(a) personal injury or death caused by our negligence or willful misconduct;

(b) fraud or fraudulent misrepresentation; or

(c) any other liability that cannot lawfully be excluded or limited under Thai law, including the Unfair Contract Terms Act B.E. 2540, Section 8.

9.4 Client Equipment

Bangkok Podcast Studio is not liable for loss, theft, or damage to the Client’s own equipment, materials, or personal property brought into the Studio.

10. Data Protection (PDPA)

10.1 Data Controller

Bangkok Podcast Studio (operated by LVC Engineering Co., Ltd.) is the data controller for personal data collected in connection with the Studio’s services, as defined under the Personal Data Protection Act B.E. 2562 (2019) (“PDPA”).

10.2 Personal Data Collected

We collect: full name, contact information (email, phone), payment details, audio/video recordings, photographs, and CCTV footage in connection with your Booking and Session.

10.3 Purposes and Legal Basis

We process your personal data for the following purposes and on the following legal bases:

10.4 Data Retention

We retain:

Booking and payment records: 3 years from Session date (for statutory accounting purposes).
Recordings and Files: 15-day download window from delivery (or longer for higher-tier plans, see Section 6.7(c)); marketing use files retained until consent withdrawn.
CCTV footage: 30 days, then deleted.

10.5 Data Subject Rights

Under the PDPA B.E. 2562, you have the right to:

(a) access your personal data;

(b) request correction of inaccurate data;

(d) withdraw consent at any time (without affecting lawfulness of prior processing);

(e) object to processing based on legitimate interest;

(f) file a complaint with the Personal Data Protection Committee of Thailand.

10.6 Voice Recordings and Sensitive Data

Voice recordings may constitute biometric data or sensitive personal data under the PDPA. We collect such data only for the purposes in Section 10.3 and do not share it with third parties for commercial purposes without your explicit prior consent.

10.7 Cookies and Website Tracking

We use cookies on bangkokpodcaststudio.com for website analytics and user experience. For details of cookies used and how to manage preferences, see our Privacy Policy.

11. Force Majeure

Neither party shall be liable for failure or delay in performing their obligations under these Terms to the extent caused by circumstances beyond their reasonable control, including natural disasters, acts of government or regulatory authority, civil unrest, power or network failures, fire, flood, epidemic, or pandemic (“Force Majeure Event”).

If a Force Majeure Event prevents a Session: Bangkok Podcast Studio will offer the Client a full credit or rescheduling at no additional charge. Credits must be used within 90 days of the Force Majeure Event. If the Client prefers a refund, Bangkok Podcast Studio will process a full refund within 14 business days.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand.

12.2 Jurisdiction

Any dispute arising from or related to these Terms or any Booking shall be subject to the exclusive jurisdiction of the courts of Bangkok, Thailand.

12.3 Consumer Protection Carve-Out

Nothing in this Section 12 limits any mandatory consumer protection rights that apply under the laws of the Client’s country of habitual residence, where such mandatory laws cannot be excluded by contract (e.g., EU Rome I Regulation Art. 6 for EU consumers, UK Consumer Rights Act 2015 for UK consumers).

13. Amendments

Bangkok Podcast Studio reserves the right to amend these Terms at any time. For Clients with active Bookings or registered accounts, material changes will be notified by email at least 14 days before taking effect. Your continued use of Studio services after the effective date of any amended Terms constitutes acceptance.

14. Disclaimer

To the maximum extent permitted by applicable law, and subject to the mandatory limitations in Section 9.3, Bangkok Podcast Studio excludes all representations, warranties, and conditions relating to our website and the use of our website. We do not guarantee that the website will be available at all times or that its content is complete, accurate, or current.

16. Brand Identity and Trademark Protection

16.1 Bangkok Podcast Studio Brand Elements

The following elements are proprietary to Bangkok Podcast Studio (LVC Engineering Co., Ltd.) and are protected under applicable intellectual property and unfair competition law (collectively, “Brand Elements”):

(a) Trade marks and names: the name “Bangkok Podcast Studio,” all BPS logos in all versions and colorways, and any other registered or unregistered marks used by Bangkok Podcast Studio;

(b) Trade dress: the physical layout, room design, acoustic treatment, wall finishes, furniture selection, color schemes, lighting design, and overall visual aesthetic of all Studio spaces;

(c) Digital brand identity: the bangkokpodcaststudio.com website design, page structure, color palette, typography, imagery style, and visual composition; and

(d) Taglines and slogans: any tagline, slogan, or distinctive phrase used by Bangkok Podcast Studio in marketing or studio materials.

16.2 Prohibition on Reproduction and Imitation

You must not, and must not permit any third party to:

(a) reproduce, copy, or imitate any Brand Element in any physical or digital form;

(b) build, design, or operate any recording space or creative facility that substantially replicates the distinctive visual, acoustic, or design characteristics of Bangkok Podcast Studio’s studio spaces;

(c) use any Brand Element, or any element confusingly similar, in connection with any business, product, or service without prior written consent from Bangkok Podcast Studio;

(d) use Recordings or Studio access to extract, document, or reverse-engineer any Brand Element for purposes of replication, whether manually or through AI-assisted generation (see also Section 5); or

(e) register or attempt to register any trademark, domain name, or business name that is identical or confusingly similar to any Brand Element.

16.3 Legal Basis

Bangkok Podcast Studio’s rights in the Brand Elements are protected under:

Trademark Act B.E. 2534: for any mark registered with the Thai Department of Intellectual Property;
Thai Civil and Commercial Code (unfair competition principles): for unregistered trade dress and passing-off;
Section 4.4 of these Terms (Studio IP): contractual prohibition incorporated by reference here.

16.4 Remedies

Any breach of this Section 16 may entitle Bangkok Podcast Studio to seek: (a) injunctive or other equitable relief; (b) damages, including actual losses and disgorgement of profits; and (c) reasonable legal costs. This Section survives the conclusion of any Booking.

17. General Provisions

17.1 Severability

If any provision of these Terms is held to be invalid, unenforceable, or void under applicable law, that provision shall be severed and the remaining provisions shall continue in full force and effect. Where a court reduces or modifies a provision (including any liquidated damages amount) rather than striking it entirely, the modified provision shall apply.

17.2 Entire Agreement

These Terms, together with the Booking confirmation and any separately executed agreements (such as an AI Training License under Section 5.4), constitute the entire agreement between Bangkok Podcast Studio and the Client with respect to the subject matter hereof, and supersede all prior negotiations, representations, warranties, and agreements, whether written or oral. No amendment to these Terms is valid unless made in writing and published by Bangkok Podcast Studio in accordance with Section 13.

17.3 Electronic Acceptance and Validity

These Terms may be accepted electronically (by ticking a checkbox, clicking an acceptance button, or completing a Booking through Podyx). Electronic acceptance constitutes a legally binding agreement in accordance with the Electronic Transactions Act B.E. 2544 (2001) of Thailand. Neither party shall contest the validity or enforceability of these Terms on the sole ground that they were accepted electronically.

17.4 Indemnification

The Client shall indemnify, defend, and hold harmless Bangkok Podcast Studio, its officers, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising from or relating to:

(a) any breach by the Client of these Terms;

(b) any claim by a third party arising from the Client’s content, including infringement of intellectual property rights, defamation, or breach of third-party consents;

(d) any AI Training Use of Recordings in breach of Section 5.

17.5 Warranties of Capacity

The Client warrants that:

(a) the Client is at least 18 years of age (or has obtained parental/guardian consent) and has full legal capacity to enter into a binding agreement;

(b) if the Client is acting on behalf of a company or organisation, the Client has authority to bind that entity to these Terms; and
